Transparency, Ethics, and Good Governance

At the Repsol Foundation, we keep our Governance System permanently updated, which is the set integrated by the following elements approved by the Board of Trustees:


Repsol Foundation Bylaws

They are the basis of our action principles as a Foundation. They are continuously evolving and adapting, including the governance best practices. In this way, we achieve information transparency for our stakeholders.


Good Governance Code

Aimed at establishing the general guidelines that must govern the Repsol Foundation's conduct. It guides the members of its Board of Trustees, other bodies, and its employees in the execution of activities that materialize the Foundation's purposes.


Taking these premises into account, the Repsol Foundation’s Board of Trustees approved this Code of Good Governance at its meeting on November 21, 2012. In the interests of greater transparency and in line with the corporate governance best practices for the better execution of its foundational purposes.

Code of Ethics and Business Conduct

Our Code of Ethics and Business Conduct ensures that everything we do is done responsibly and honestly and reflects our commitment to respect human rights, equal opportunities, environmental protection, and transparency of information. All of our employees make this commitment, particularly leaders, directors, and members of the Board of Trustees, who apply the Code in all their decisions and lead by setting an example for all of us who form part of the Foundation.


Under these premises, the Repsol Foundation's Board of Trustees approved this Code of Ethics and Business Conduct at its meeting on November 14, 2023.

 

Crime Prevention Model

The Repsol Foundation's Crime Prevention Model is the formal framework made up of activities, processes, regulations, and internal controls that are applied on an ongoing basis, and allows for the identification, assessment, mitigation, and prevention of criminal risks. 


Its methodology is based on the highest international standards and reference frameworks for internal control, integrated risk management, and compliance. 


The Model is characterized as a continuous and dynamic management system. It is adapted at all times to the circumstances that determine the evolution of the Foundation or the legal variations that may occur. 


The Repsol Foundation has zero tolerance with respect to conduct that may involve regulatory breaches of a criminal nature.

Code of Ethics and Conduct for Collaborators and Suppliers

Collaborators and suppliers, although independent organizations, actively participate in the value chain of the activities we carry out. This Code, marked by an ideal of cooperation, is aimed at mutual benefit, respecting each role at all times.


Under these premises, the Repsol Foundation’s Board of Trustees approved this Code of Ethics and Conduct for Collaborators and Suppliers at its meeting on June 15, 2015.
